July 26, 2023 marked the latest evolution of the cybersecurity regulation landscape as the Securities and Exchange Commission (SEC) passed cybersecurity regulations for publicly traded companies. At the open meeting, SEC Commissioner Jaime Lizárraga noted that 83 percent of companies experienced more than one data breach, with an average cost of $9.44 million in the U.S.; breaches increased 600 percent over the last decade and total costs across the U.S. economy could run as high as trillions of dollars per year.

What is the role of the director in the new breach disclosure world? What factors and practices are driving the Agency’s strong focus on cybersecurity, and what can you learn from the experience of others? What breaches are material and need to be reported? How much information should be disclosed, if so? Why are the new Item 1C disclosures about the oversight of cybersecurity risk by a company’s board critical for directors?

Please join us for a lively, scenario-based peer discussion of the new rules tailored to your role as a director.
