Conducting Internal Investigations – A Board of Directors’ Primer
The focus of the panel will be on practical considerations for board members responding to matters that require outside investigations (such as suspected fraud or CEO misconduct, etc.) and current best practices in the area.  Topics will include the following:
- Triggers for board investigations
- Who conducts the investigation
- Utilizing Experts
- Communicating with Stakeholders
- Protecting privilege over investigations
- Reporting results and interaction with the regulators during the investigations

 Co-panelists will include Ann Gittleman, Managing Director, Kroll, and forensic accounting expert based on New York City, and Koji Fukumura of Cooley discussing the role of outside counsel.
